38th CIRCUIT FOSTER & ADOPTIVE PARENT SUPPORT GROUP

A CHAPTER OF MISSOURI FOSTER CARE AND ADOPTION ASSOCIATION

BY-LAWS

 

Article 1- Name

 

The name of the organization shall be 3= 8th Circuit Foster & Adoptive Parent Support Group, a chapter of Missouri F= oster Care and Adoption Association, hereafter referred to as the support group. = It shall incorporate under Misso= uri statutes for non-profit corporations.

 

Article 2- Purposes

 

The Support Group is organized for, but= not limited to the following:

1. To unite foster & adoptive paren= ts in the 38th circuit (Christian & Taney counties).=

2. To provide foster and adoptive servi= ces, education & training opportunities.

3. To lobby together for new legislation and/or policy changes.

4. To provide resource gathering and distribution.

5. To plan and carry out fund raisers to support the needs of the organization.

6. To recruit and help retain quality foster & adoptive parents.

7. To provide opportunities for fellows= hip and growth.

 

Article 3 - Policy

 

The Support Group shall be self-governi= ng, non-profit, non-partisan, non-sectarian and abide by all regulations under = the 501(c)(3) internal revenue tax code and all legal powers permitted a not for profit corporation.

 

Article 4 - Board of Directors & Officers

 

1. The management of the Support Group shall be vested in the Board of Directors composed of at least four officers but not more than 7 officers composed of: President, Vice-President, Secret= ary and Treasurer.

2. The Board shall meet as often as sha= ll be necessary to transact the business of the Support Group, but no less than once a year.

3. The Board shall be elected to a two = year term. All Board members can be re-elected by the Support Group by majority = vote of those present and there is no term limit.

4. Board members cannot be related to o= ne another.

5. The President and Treasurer will be elected in every odd year.  Th= e Vice-President and Secretary will be elected in every even year.

6. Ballots for potential board candidat= es will be made available by the last day of November every year.

7. Potential candidates for the board m= ust be licensed foster or adoptive parents in good standing at the time they are nominated and elected to the board.

8. Any Board member may resign by a wri= tten 30 day notice. In this case a special election will be held for an interim officer to serve until the next election.

9. The general program of the Support G= roup shall be formulated by the Board in conformity with the principles and purp= oses of the Support Group.

10.&nb= sp; A quorum of ¾ of the officers is necessary to conduct the business of the support group but is not necessary to facilitate support gr= oup meetings.

 

Article 5 - Duties of Officers (Board Of Directors)

 

1. The President shall supervise the activities of the Support Group and other officers, and shall preside at all meetings.

2. The Vice-President shall perform all duties assigned to them by the President, and preside over all meetings in which the President is absent.

3. The Secretary shall keep all minutes= of each meeting and shall perform all other secretarial duties assigned by the President.  The Secretary shal= l keep and record all records of business for the support group.  The Secretary will be responsible = for correspondence directed to and from the support group.

4. The Treasurer(s) shall be in charge = of keeping all financial records for the Support Group. The treasurer(s) will = also perform all duties associated with the Support Groups finances as instructe= d by the President. The treasurer will open a Support Group bank account and wil= l be on the accounts signature card together with the officers, for said bank account.  The treasurer will r= equire the signature of one additional board member in order to make necessary payments.  The treasurer will = keep financial records of the support group and provide a report to the Missouri Foster Care and Adoption Association prior to December 31st each year.

5. Officers must inform the president or Vice-President in the event they are unable to attend a support group meeti= ng.

Article 6 – Membership=

 

Membership of= the support group is not required to attend support group meetings.  Members wishing to vote must attend three meetings per calendar year as determined by the sign-in sheet and be = in good standing with the support group.

 

Article 7 - Standing and Special Commit= tees

 

The Board shall appoint the standing and special committees that it deems necessary.

 

Article 8 – Robert’s Rules = of Order

 

1. RobertR= 17;s Rules of Order Revised shall govern the support group except where inconsis= tent with these by-laws.

 

Article 9 - Amendments To By-Laws

 

The Board may, at their discretion, make amendments to the Support Groups By-Laws and must have them passed by a majority vote at the next Support Group meeting.
